“The Gig Prizes” ("Contest") are sponsored by the Chattanooga Chamber of Commerce Foundation
(“Sponsor”) and are governed by these “Official Rules”. In order to enter the Contest, you must
agree to these Official Rules. The Contest opens for Applications at 9:00 AM EDT on November 21, 2011
and the submission period for applications closes at 5:00 PM EDT on January 18, 2012
(the "Application Period"). The “Contest Period” extends to August 16, 2012 and includes a number of
specific activities conducted under a program called the “Gig Tank” to which selected applicants will
be invited following review of the applications submitted during the Application Period.
Employees and directors of Sponsor and organizations who are providing financial support, in-kind support or providing services as vendors to the Contest as well as Sponsor's respective parents, affiliates, subsidiaries, retailers, agencies and their respective officers, directors, employees and agents (collectively, "Released Parties"), and members of their immediate families (parent, child, sibling, spouse, regardless of where they reside) and households, whether or not related, are not eligible to enter or win.
If an Entrant enters the Contest in the track for teams, the “Entrepreneur” track, he/she understands and agrees that the Entrepreneur track will only accept teams of two to four members. Also the Entrant understands and agrees that, in order for a team to be eligible to participate, all of the members of the team must agree to these Official Rules. By entering, Entrant warrants that he/she has obtained the appropriate agreement and/or approval by his team members. In addition, an Entrant that is a member of a team understands and agrees that if the team is selected to receive a prize, the team is responsible for determining the distribution within the team and each member of the team must agree upon the payment terms and conditions. The eligibility of an Entrant is tied to the eligibility of the team. So if one member of a team does not comply with these Official Rules or is disqualified, the team as a whole will be disqualified.
If an Entrant enters to the Contest as part of a corporation or other legal entity (hereinafter collectively "Entity"), the Entrant warrants that the appropriate corporate officers, executives, managers or other persons having the authority to approve Entrant's Entry into this Contest have approved the Entrant's Entry and the Entrant understands that these Official Rules will be binding on both the Entrant and the Entity. If such Entity is selected to receive a prize, a corporate officer or person entitled to bind the Entity will be required to validate that the Entrant is entitled to receive the prize on the behalf of the Entity and the corporate officer or person entitled to bind the Entity must provide the appropriate information for receiving the prize.
By entering, Entrant agrees to release, discharge, indemnify and hold harmless the Released Parties from any and all liability, claims, judgments, losses, injuries, demands, damages, actions, and/or causes of actions, whether direct or indirect, which may be due to or arise out of participation in the Contest or any portion thereof, or the acceptance, use/misuse or possession of any prize or Released Parties' use of any of the rights granted herein.
The Official Rules and the decisions of the Sponsor and independent judges are final and binding in all respects. All applicable federal, state and local laws and regulations apply. The Contest is void wherever prohibited or restricted by any mandatory national, state or other government laws in form and language as provided herein and is subject to all applicable mandatory federal (national), state and local laws.
By participating, Entrants agree to these Official Rules and to the decisions of the Judges, whose decisions are final and binding in all respects. If you do not accept these Official Rules, you are not eligible to participate in the Contest and should not apply. To the maximum extent permitted by applicable law, the Sponsor reserves the right at its sole discretion to amend, withdraw or revise these Official Rules and the Prizes at any time without notice and in such event the Sponsor shall not have any liability whatsoever. Sponsor also reserves the right, in its sole discretion, to cancel the Contest at any time.
All entries shall remain the property of Entrants. However by submitting an Entry, Entrant acknowledges that Sponsor may obtain many entries under this Contest and that such entries may be similar or identical in theme, idea, format or other respects to others submitted under this Contest and/or other contests or otherwise involving the Sponsor, and agrees to waive any and all claims he/she may have had, may have, and/or may have in the future, and that any composition, and/or works accepted, reviewed and/or used by the Sponsor (or its designees) may be similar to his/her Entry. Entrant acknowledges and agrees that the Sponsor does not have now, nor shall it have in the future, any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of any copyright in and to his/her Entry.
With regard to Entry submissions, you understand and agree that you are solely and fully responsible for any and all aspects of the Entry and content submitted, including but not limited to its legality, appropriateness and non-infringement of third party intellectual property rights, and the Sponsor shall not be liable in any way for such Entry. The Sponsor shall have no obligation to monitor any Entry provided by you to the Sponsor, but may do so at its discretion.
Gig Prize sponsor Warner Bros. Home Entertainment, Inc. (“WBDD”) is in no way involved in the creation, execution, administration or fulfillment of the Gig Prize competition, and any questions, comments or complaints regarding the Gig Prize competition must be directed to Gig Prize Sponsor. WBDD and its parents and affiliates are released parties under these Rules.
ELIGIBILITY:

To enter the Contest, the Entrant must go to the Contest web site www.thegigcity.com (the "Site") during the Application Period and submit their application including contact information, answers to application questions and an optional video of up to three minutes.
